1. Introduction
These Terms of Service ("Terms") govern your business relationship with Guangzhou Chilinkin Technology Co., Ltd. ("Chilinkin," "we," "us," or "our") for the provision of electronic peripheral cable manufacturing, OEM/ODM services, and related B2B solutions.
By engaging in business with us, placing orders, or using our services, you ("Client," "you," or "your") agree to be bound by these Terms. These Terms apply exclusively to B2B transactions and do not cover retail sales.

4. Order Terms and Conditions
4.1 Order Placement
All orders must be placed in writing via email or official purchase order. Verbal agreements are not binding until confirmed in writing. Minimum order quantities (MOQ) apply and will be specified in quotations.
4.2 Pricing and Payment
- Prices are quoted in USD and valid for 30 days unless otherwise specified
- Payment terms: 30% deposit, 70% balance before shipment
- Accepted payment methods: T/T, L/C, or other mutually agreed methods
- Late payment may result in order delays or cancellation
4.3 Production Timeline
Production lead times vary by product complexity and order quantity. Standard products: 15-25 days. Custom OEM/ODM projects: 30-45 days after design approval. Timelines are estimates and may be affected by material availability or unforeseen circumstances.
5. Quality Assurance and Warranties
5.1 Quality Standards
All products undergo strict quality control testing and comply with relevant international standards including CE, EMC, and RoHS certifications where applicable.

5.2 Warranty Coverage
- Standard warranty: 12 months from delivery date
- Covers manufacturing defects and material failures
- Does not cover damage from misuse, normal wear, or modifications
6. Intellectual Property
6.1 Client IP Rights
Client retains all rights to their trademarks, logos, and proprietary designs provided for custom manufacturing. We will not use client IP for any purpose other than fulfilling the agreed services.
6.2 Chilinkin IP Rights
Chilinkin retains all rights to our manufacturing processes, technical know-how, and standard product designs. Any improvements or modifications developed during custom projects remain our intellectual property unless otherwise agreed.
7. Confidentiality
Both parties agree to maintain strict confidentiality regarding:
- Technical specifications and product designs
- Pricing information and commercial terms
- Business strategies and market information
- Any other proprietary or sensitive information
This confidentiality obligation survives termination of our business relationship and remains in effect for 5 years.
8. Shipping and Risk Transfer
8.1 Shipping Terms
Standard shipping terms are EXW (Ex Works) Guangzhou, China, unless otherwise agreed. Client is responsible for arranging international shipping, customs clearance, and import duties.
8.2 Risk Transfer
Risk of loss or damage transfers to Client upon delivery to the agreed shipping point. We recommend appropriate insurance coverage for international shipments.
9. Limitation of Liability
IMPORTANT: Our total liability for any claims arising from our services shall not exceed the total amount paid by Client for the specific order giving rise to the claim.
We shall not be liable for indirect, consequential, special, or punitive damages, including but not limited to lost profits, business interruption, or loss of data, even if advised of the possibility of such damages.
10. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, government actions, labor disputes, material shortages, transportation delays, or pandemic-related restrictions.
11. Governing Law and Disputes
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China.
11.2 Dispute Resolution
Any disputes arising from these Terms shall be resolved through friendly negotiation. If negotiation fails, disputes shall be submitted to arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou.
12. Modifications and Updates
We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website and communicated to active clients. Continued engagement after modifications constitutes acceptance of the updated Terms.
